Terms and Conditions

This website and the products and services offered on it are operated by Uniqcli LLC ("Uniqcli," "we," "us"), part of the Uniqcli group of companies, located at 233 S Wacker Drive, Floor 44, Chicago, IL 60606. By accessing the site, requesting a quote, or placing an order, you accept these Terms and Conditions and our Return Policy, which is incorporated by reference. If you do not agree, please do not use the site or order from us.

Our offerings are intended for business, government, education, healthcare, and other organizational buyers in the United States, and for individuals authorized to purchase on their behalf. You agree to provide accurate, current, and complete information, to keep any account credentials confidential, and to be responsible for activity under your account.

Prices, product listings, and quotes presented on the site or in a cart are invitations to do business, not binding offers. When you submit a cart, request a quote, or send a purchase order, you are making an offer to buy. A binding contract is formed only when Uniqcli accepts your order in writing through an order confirmation or invoice.

Quotes are valid for the period stated on the quote (and otherwise for 30 days), subject to product availability and price confirmation at the time of acceptance. We may decline or cancel an order, in whole or in part, for reasons including pricing or description errors, suspected fraud, credit, stock, export-control, or eligibility issues. If we cancel an order you have already paid for, we will refund the affected amount.

All prices are in US dollars and exclude shipping, handling, insurance, duties, and applicable taxes unless stated otherwise. Prices are subject to change and to confirmation at order acceptance. Despite our efforts, listings may contain typographical or pricing errors; we reserve the right to correct any error and to cancel any order placed on the basis of an incorrect price, even after acceptance.

You are responsible for all applicable sales, use, and similar taxes unless you provide a valid tax-exemption or government certificate. We accept the Government Purchase Card (GPC) and support tax-exempt public-sector orders.

Accepted payment methods are stated at checkout or on your quote and may include the Government Purchase Card (GPC), credit card, ACH, wire, or approved net terms. For cart-based quote requests, no payment is captured until we confirm availability and the final total and you approve the order. Net terms, where extended, are subject to credit approval, and overdue balances may accrue interest at the maximum rate permitted by law.

We ship from US warehouses, with free standard US ground shipping on eligible orders over the threshold shown on the site. Delivery dates and lead times are estimates, not guarantees, and depend on manufacturer availability. Unless your order confirmation states otherwise, title and risk of loss pass to you upon our delivery of the products to the carrier (FOB origin). Inspect shipments on delivery and report transit damage as described in our Return Policy.

Returns, exchanges, refunds, RMAs, restocking fees, and non-returnable items are governed by our Return Policy. Hardware carries the applicable manufacturer (including Cisco) limited warranty; software is provided under its license terms. EXCEPT FOR THOSE MANUFACTURER WARRANTIES AND ANY WARRANTY WE EXPRESSLY PROVIDE IN WRITING, PRODUCTS, THE SITE, AND OUR SERVICES ARE PROVIDED "AS IS," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.

Product descriptions, images, specifications, and datasheets are provided by the manufacturer and reproduced for reference; they may change without notice and may contain inaccuracies. Availability is not guaranteed, and we may substitute an equivalent or newer product, or discontinue an item, before acceptance of your order.

Uniqcli is an authorized Cisco partner and supplies genuine, new Cisco products unless a listing expressly states otherwise. Your purchase and use of Cisco products are also subject to Cisco's applicable terms, including:

• Cisco End User License Agreement (EULA) and Supplemental End User License Agreements: software is licensed, not sold, and is non-transferable except as Cisco permits
• Cisco Smart Licensing and subscription terms, including activation, entitlement, and registration obligations
• Cisco limited hardware warranty, and SmartNet (Smart Net Total Care) or Solution Support contract terms where purchased
• Cisco end-customer registration and any end-user or deal-registration requirements

You are responsible for accepting Cisco's license terms and for registering and maintaining entitlement for licensed software and services. Cisco trademarks and product names are the property of Cisco Systems, Inc.

Products and technology sold by Uniqcli are subject to US export control and sanctions laws, including the Export Administration Regulations (EAR) and regulations administered by OFAC. You agree not to export, re-export, divert, or transfer products in violation of those laws, to a sanctioned or denied party, or for a prohibited end use. You represent that you are not located in, or a national of, an embargoed country and are not on a US denied-parties list. Title to controlled items does not authorize any export contrary to law.

For federal, DoD, state, local, education, and healthcare buyers, we support TAA-compliant sourcing, the Federal Acquisition Regulation (FAR), and contract vehicles such as GSA, SEWP, and NASPO. Specific government flow-down clauses apply only to the extent agreed in a signed order or contract between the parties. See our procurement page for details.

TO THE FULLEST EXTENT PERMITTED BY LAW, UNIQCLI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Uniqcli LLC and its affiliates, officers, and employees from claims, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of products or the site, or your violation of any law or third-party right, including export-control and license terms.

The site and its content, including text, graphics, logos, and the Uniqcli name, are owned by Uniqcli LLC or its licensors and are protected by intellectual-property laws. You may use the site only for legitimate purchasing and informational purposes. Cisco, Catalyst, Meraki, Nexus, and other manufacturer marks are the property of their respective owners and are used for identification only.

You agree not to misuse the site, including by scraping at scale, attempting to gain unauthorized access, interfering with its operation, introducing malware, or using it to violate any law. We may suspend or terminate access for conduct that, in our judgment, violates these Terms or harms the site or other users.

Information you submit, such as quote requests and contact details, is used to respond to you, process orders, and operate our business, and is handled in accordance with our privacy practices. We do not sell personal information. Contact [email protected] with any privacy question or request.

The site may reference manufacturer information or link to third-party resources. We do not control and are not responsible for third-party sites, content, or terms, and a link does not imply endorsement.

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supply-chain or manufacturer delays, carrier disruptions, labor actions, natural events, acts of government, or network or utility failures.

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not otherwise resolved will be the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We may update these Terms from time to time; the version posted here, with its "Last updated" date, governs your use and any order placed after it is posted. If any provision is held unenforceable, the remaining provisions stay in effect. These Terms, together with our Return Policy and any signed order or contract, are the entire agreement between you and Uniqcli regarding their subject matter and supersede prior understandings. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
